Dennis Mathisen is Chairman and CEO of Marshall BankFirst Corp. He has more than 30 years of experience in the financial services industry. A graduate of the University of Minnesota with a B.S. and Juris Doctor, he began his career in Washington, D.C., as a tax attorney for the Office of Chief Counsel of the Internal Revenue Service. He later joined the Minneapolis-based law firm of Lindquist & Vennum and was a partner there until 1977. That year he joined Irwin Jacobs and worked on numerous acquisitions, mergers and takeovers of public and private companies. In 1988, Mathisen formed Marshall Financial Group, Inc., (MFG) a bank management and consulting firm. MFG also engaged in merchant banking activities such as the purchase of distressed assets, financing turnaround opportunities, and making direct equity and debt investments in public and private companies. In 1997, MFG joined with Piper Jaffray and other institutional investors in forming Marshall Financial Partners, a limited partnership that provided equity capital to companies in the financial services industry. Mathisen began his banking activities in the early 1970's with the purchase of several rural community banks in Minnesota. He controlled and served as Chairman and CEO of Mountain Park Financial Corp. (MPFC), a Colorado-based bank holding company. In 1993, MPFC raised capital through a public offering of common stock and began trading publicly on NASDAQ. In December of 1996, MPFC had an asset base of approximately $500 million with 21 offices throughout Colorado when it merged with Community First Bancshares, Inc. In 2003, Mathisen purchased the $40 million Hallock Bank of Minnesota and relocated its headquarters to Minneapolis. In 2005, he purchased the BANKFIRST Corporation, based in Sioux Falls, South Dakota. BANKFIRST has branch locations in South Dakota (Sioux Falls, Toronto and Brookings) as well as Minneapolis and Chandler, Arizona. With the latest acquisition, Mathisen's Marshall BankFirst Corp. increased its total assets to nearly $600 million with a lending limit of nearly $12 million. Throughout his career, Mathisen has been actively involved in the nonprofit sector. He has served as a trustee of the Minneapolis Society of Fine Arts, Minneapolis Art Institute, Children's Theatre Company of Minneapolis, Minneapolis Symphony Orchestra, Blake Schools, Fairview Southdale Hospital, Minneapolis Medical Foundation and the Minnesota Humanities Commission. He is presently a member of the Board of Visitors to the University of Minnesota Law School. |

James Clifford is Executive Vice President and Chief Credit Officer of Marshall BankFirst Corp. He is responsible for managing the firm's Credit and Risk Management groups. Clifford has more than 25 years of experience in banking, finance, investments, strategic planning and business development. Most recently, he served as the Director of Business Banking at Bremer Financial Corporation, a $5.7 billion bank holding company based in St. Paul. Prior to his position at Bremer, Clifford was Chairman and President of Firstar Bank of Minnesota N.A., a $3.0 billion region of what is now US Bank. Before serving as President, he was Senior Vice President and Manager of the Corporate Middle Market division. In addition to managing Firstar's Minnesota commercial activities, Clifford helped provide overall direction of the bank through participation on the management policy committee, investment committee, asset liability committee and strategic planning committee. He previously served as Vice President and Center Manager of Irving Trust Company (now Bank of New York). He also served as Vice President of Corporate Banking at Norwest Bank (now Wells Fargo). Clifford holds a bachelor's degree in business management and finance from the University of St. Thomas. |

Scott Anderson is Vice Chair, President and Chief Operating Officer for Marshall BankFirst Corp. He has more than 25 years of experience within the financial services sector, with particular emphasis on collections, credit administration, commercial loans and portfolio acquisition. Prior to assuming his roles as President and Chief Operating Officer, Anderson led the Special Assets and Asset Based Lending divisions of Marshall Business Credit, a subsidiary of Marshall Bank, N.A. Anderson formerly served as Vice Chairman and Chief Credit Officer for nine years at Arcadia Financial, which was a $5 billion, 1,500-employee enterprise before it was acquired by Associates First Capital. He has also held numerous management positions at Marquette Bank, First Bank, Brenton Banks and Farm Credit System. Anderson holds a bachelor's degree in economics from the University of Wisconsin. |

Tom Grady is Executive Vice President and Director of Marketing & Distribution for Marshall BankFirst Corp. He is responsible for the firm's product distribution, marketing strategy, branding, client and sales communications, advertising, conferences and events. Grady most recently served as the head of Marketing Services for Deutsche Banks $400 billion Institutional Asset Management division in New York. Prior to that, he served in various roles at Scudder Investments, including marketing communications manager for Scudders $100 billion institutional business. He previously served as Assistant Director of Public Relations for Tulane University in New Orleans. He began his professional career as a newspaper reporter and Assistant Editor at a daily newspaper in Arkansas. Grady holds a bachelor's degree in English from Saint Louis University and a Master's of Business Administration degree from the Freeman School of Business at Tulane University. |

Ken Larsen is the Chief Financial Officer for The Marshall Group. Previously, he served as the Vice President of Finance and Controller of Miller & Schroeder, Inc., a position he held since joining Miller & Schroeder in 1998. He has 13 years of experience in the financial services industry in such areas as accounting, operations and administration. Larsen was previously the Chief Financial Officer for Voyageur Asset Management (VAM), a money management firm with more than $13 billion in assets under management. At VAM, he was in charge of the corporate accounting, transfer agent and mutual fund accounting departments. From 1984 to 1988, he was an auditor for the public accounting firm of McGladrey Hendrickson & Pullen. Larsen holds a bachelor's degree in accounting from the University of Minnesota - Duluth and a master's of business administration degree from St. Thomas University. He also holds a Certified Public Accounting (CPA) certificate. |

Meghan Harris is an Executive Vice President within the Loan Administration division of Marshall BankFirst Corp. She is responsible for the administration of Marshall BankFirst's commercial loan portfolio with responsibility for documentation, closing and servicing of loans, including the draw process of construction loans. Harris previously practiced with the firm of Faegre & Benson, specializing in the structure of commercial loan financings and the resolution of distressed credits, including problem loan work-outs and bankruptcy. She later served as General Counsel to The First National Bank of Saint Paul, providing advice in connection with all aspects of legal and regulatory requirements of national banking associations, continuing her work with commercial transactions and workouts. She spent several years as a Law Professor both in an adjunct capacity as well as that of a visiting full-time Professor of Law, teaching in the areas of Regulation of Banking, Debtor-Creditor Rights, Bankruptcy and Uniform Commercial Code. Harris holds bachelor's degrees in history and English from Coe College and a Juris Doctor degree from the University of Iowa College of Law. |

Mary Merrill is Senior Vice President of Private Equity, managing subordinated debt and private equity activities for Marshall BankFirst Corp. Merrill has more than 20 years of experience in private debt and equity, with expertise in direct investments and lending, private placements, acquisitions, strategic advisory services, and valuations. Most recently, she spent seven years in investment banking handling middle market private placements of debt and equity, including founding a boutique investment bank she subsequently sold. Previously, Mary served as Chief Financial Officer and Director of a west coast wireless retail and service company, where she was instrumental in raising significant growth capital and positioning the company to expand to multiple states with web-based operations serving clients nationwide. Prior to that, Ms. Merrill was a partner for six years at Churchill Capital, a family of private equity and subordinated debt funds now exceeding $1 billion under management. Merrill holds a bachelor’s degree in business and a master’s degree in finance and international business from the Carlson School of Management at the University of Minnesota. |

Timothy Kosiek is Vice Chairman, Chief Financial Officer and President BankFirst & Marshall Bank of Marshall BankFirst Corp. He has more than 20 years of experience in the financial services industry. Kosiek is responsible for managing corporate performance, accounting, financial administration, banking operations and payment systems activities. Kosiek worked most recently with BankFirst, where he held leadership positions including CFO for more than three years. Previously, he worked for Ernst & Young L.L.P. His experience and expertise include mortgage and consumer lending, commercial banking, real estate, brokerage, hedge funds, asset-backed and other structured financings. Kosiek holds a bachelor's degree from St. John's University in Collegeville, Minnesota. He is also a graduate of the Ernst & Young Executive Program at Northwestern University. |

Thomas Pareigat is Vice President, Director of Compliance and Corporate Counsel within the Compliance Risk Management division of Marshall BankFirst. He is responsible for implementing an enterprise-wide compliance risk management program. Pareigat also provides day-to-day support to the company's bank and non-bank affiliates on legal, regulatory and risk-related matters. Pereigat has more than 15 years of experience in the legal and regulatory field. Prior to joining Marshall BankFirst, he was a partner in the Minneapolis office of Lindquist & Vennum, P.L.L.P. where he was a member of the Financial Institutions practice group. He advised on a full range of regulatory matters, and guided clients during the development and delivery of new products and services. He also represented clients during the regulatory enforcement process. His prior experience also includes serving as Senior Counsel at Marquette Bancshares in Minneapolis and as a Senior Attorney at Bankers Systems, Inc. in St. Cloud, Minnesota. Pareigat has served as a faculty member at numerous national and state banking industry events, including the American Bankers Association National Regulatory Compliance Conference and the Minnesota Bankers Association Compliance School. Pareigat has been a licensed attorney in the state of Minnesota since 1984. Pareigat holds a juris doctorate from The John Marshall Law School in Chicago, Illinois, and a bachelor's degree from St. Olaf College in Northfield, Minnesota. |

Gerald Anderson is Senior Vice President for BankFirst. He is responsible for the banks' continued growth of commercial and industrial lending relationships throughout the Midwest. Anderson most recently served as Senior Vice President and Commercial Banking Group Manager for Associated Bank in Minneapolis, where he was responsible for developing their community banking real estate lending group and managing the business banking group located in Bloomington. Prior to that, Anderson served as Senior Vice President and Regional Credit Officer at Associated Bank in Minneapolis; Senior Vice President and Senior Lending Officer at Associated Bank in Minneapolis and as Vice President and Branch Manager of Riverside Bank/Associated Bank. He began his professional career as Vice President and Lease Officer at Merchants Capital Resources, Inc. John Kimball is the President of BankFirst and Marshall Bank, N.A. He is responsible for the continued growth, management and overall operations of both institutions. Kimball most recently served as Regional President for Associated Bank in Minneapolis, where he was responsible for managing Associated's Minnesota operations, growing the bank from $750 million to $2.8 billion over a period of four years. Prior to that, Kimball served as Senior Vice President of Corporate Banking at Fifth Third Bank in Grand Rapids, Michigan; Regional President of Old-Kent Southwest in Grand Rapids, Michigan; and as Senior Vice President of Keybank in Elkhart, Indiana. He began his professional career as Relationship Manager in Commercial Banking for J.P. Morgan Chase in Lansing, Michigan. Kimball holds a bachelor's degree in economics and business administration from Albion College in Albion, Michigan; and a master's degree in business administration from the University of Notre Dame. |

Ken Roering, Executive Vice President for Marshall BankFirst Corp., is responsible for corporate strategy formulation and strategy execution. He has more than 25 years of experience in the banking industry as a director, executive, consultant and professor at banking schools. In addition to his role at Marshall BankFirst, Roering serves as Professor of Marketing at the University of Minnesota's Carlson School of Management. Roering occupied the prestigious Pillsbury Company-Paul S. Gerot Chair in Marketing from 1983-2002. He served as Chairman of the Marketing Department at the University of Minnesota and as visiting professor or distinguished lecturer at several prestigious universities in the United States and Europe. Roering has been a consultant to numerous Fortune 500 corporations, including American Express, Carlson Companies, 3M, Motorola, Pillsbury and US Bank. He has served on 14 private and public company Boards of Directors, currently serving on the boards of Arctic Cat Inc. and Innovex Inc. His primary areas of expertise are business strategy, marketing strategy, strategy execution and the commercialization of technology. Roering earned a B.A. from St. John's University and a Ph.D. from the University of Iowa. He has written two books, three collections of scholarly writings and published more then 70 articles. He has received numerous awards and recognitions for his research, teaching and contributions as a corporate director from the University of Minnesota Carlson School of Management and various professional associations. |
